RGA Upskill Terms of Use & Student User Agreement

These Terms of Use & Student User Agreement (“Terms”) govern your access to and use of the RGA Upskill website, learning management system (LMS), online courses, and related services (collectively, the “Services”) provided by RGA Upskill, a training brand of ReelGoodAim LLC (“RGA Upskill,” “we,” “us,” or “our”).
By accessing our website, creating an account, or enrolling in any course, you agree to be bound by these Terms and our Privacy Policy and Refund Policy, which are incorporated by reference. If you do not agree, do not use our Services.
1.1 General Eligibility
You must:
Be at least 18 years old (or the age of majority in your jurisdiction), or
Have permission from a parent, guardian, or authorized sponsor (such as the U.S. military using approved funding channels).
1.2 Military & Sponsored Students
If you are using third-party funding (e.g., U.S. Army Credentialing Assistance, other tuition assistance, or employer funding), you are responsible for:
Ensuring your information is accurate and complete.
Following all rules and timelines set by that funding program.
Our role is limited to training and student support. We do not control whether a funding source approves, denies, or revokes your funding.
2.1 Account Creation
To access certain Services, you may be required to create an account in our LMS or related platform. You agree to:
Provide accurate, current, and complete information.
Keep your login credentials confidential.
Notify us promptly at support@rgaupskill.com if you suspect any unauthorized use.
2.2 Single User License
Your account is for your personal use only.
You may not:
Share login credentials with others.
Allow any other person to access course content under your account.
3.1 Course Access
Upon enrollment, you will receive access instructions for your course and LMS account. Access is typically:
100% online
Self-paced
Available for a defined access period (most programs expire after one year from your official course start date, unless otherwise stated on the course page or in your enrollment documents).
3.2 Course Expiration
Once your access period ends, your login may be disabled and you may lose access to:
Course materials
Videos, labs, and practice tests
Progress records inside the LMS
You are responsible for completing the training within the access period.
4.1 Payments and Funding Sources
Training may be paid for by:
You directly,
A third-party funding source (such as the U.S. Army Credentialing Assistance program or other tuition assistance), or
An employer or other sponsor.
Regardless of funding source, you agree to:
Follow all required processes for that funding program.
Provide any documentation needed for enrollment and support.
4.2 Refund Policy (Summary)
Our full RGA Upskill Refund Policy is posted separately and incorporated into these Terms. In the event of any conflict, the Refund Policy controls.
In general:
Students must submit a withdrawal request before the official course start date listed at the time of enrollment in order to be eligible for a refund or cancellation.
Once the official course start date has passed and/or you have logged in and accessed the course, withdrawals are typically not eligible for a refund.
4.3 Military Deployment & Unexpected Duty
We understand that active duty and reserve personnel may face unexpected changes. In limited situations, such as:
Unanticipated deployment,
Mobilization,
Activation, or
Temporary duty assignments (TDY),
we may, at our sole discretion, make an exception to our standard refund or withdrawal rules if you provide appropriate documentation within a reasonable timeframe.
4.4 No Guarantee of Third-Party Funding
We do not guarantee:
That your funding will be approved,
That your funding will be continued, or
That your funding will pay all tuition or related costs.
If a funding source does not pay or later reverses payment, you may remain responsible for any outstanding tuition or fees, consistent with your enrollment documents and any applicable funding rules.
By using our Services, you agree to:
Complete coursework honestly and without cheating or misrepresentation.
Not share, resell, or distribute course materials to others.
Communicate respectfully with instructors, staff, and other students.
Follow all policies communicated through our website, LMS, or official emails.
We reserve the right to suspend or terminate access if we determine that you have violated these Terms or engaged in misconduct.
You are responsible for having:
A compatible computer (Windows or Mac; Chromebooks, tablets and phones are typically not supported),
Reliable high-speed internet,
A working microphone and camera where required.
You understand that:
Technology issues may occasionally interrupt access.
We are not liable for your inability to participate or complete a course due to your hardware, software, or internet limitations.
7.1 Certificates of Completion
Upon successfully completing all required course components, you may be issued a Certificate of Completion from RGA Upskill.
7.2 Industry Certifications
Completion of training does not automatically grant you an industry certification. Most industry certifications (e.g., ASE, CompTIA, etc.) require:
Registering with the official certification body,
Meeting their eligibility criteria, and
Passing their proctored exam.
We do not control exam availability, scheduling, fees, policies, or pass/fail decisions.
7.3 No Employment or Salary Guarantee
We may provide job-search support, resume guidance, or general career information as part of our services. However, we do not guarantee:
Employment,
Job placement,
Promotions, or
Specific salary outcomes.
All course content and materials, including but not limited to:
Text, videos, labs, quizzes, and practice exams,
Logos, graphics, and branding, and
Any written guides or downloads,
are owned by RGA Upskill, ReelGoodAim LLC, our partners, or our licensors, and are protected by intellectual property laws.
You receive a limited, non-exclusive, non-transferable license to use the content solely for your personal training purposes during your active enrollment period. You may not:
Copy, record, or redistribute course content,
Post course materials online, or
Use our content to create competing training.
You agree not to:
Use the Services for any unlawful purpose.
Attempt to gain unauthorized access to any part of our systems.
Interfere with or disrupt the operation of the website or LMS.
Circumvent, disable, or otherwise interfere with security features.
Use bots, scraping tools, or automated methods to access content.
We may restrict or terminate access to any user engaging in prohibited activities.
Our Services may link to or integrate with:
Third-party exam vendors,
External LMS providers,
Payment processors, or
Other external websites.
We do not control these third-party services and are not responsible for:
Their content,
Their policies, or
Their actions or failures.
Your use of third-party services is governed by their own terms and policies.
To the maximum extent permitted by law:
The Services are provided on an “as-is” and “as-available” basis.
We do not warrant that the Services will be uninterrupted, error-free, or free from viruses or other harmful components.
We make no guarantees about specific results, exam outcomes, or employment outcomes.
Some jurisdictions do not allow limitations on certain warranties, so some of the above limitations may not apply to you.
To the maximum extent permitted by law, in no event will RGA Upskill, ReelGoodAim LLC, our owners, employees, contractors, or partners be liable for:
Any indirect, incidental, special, consequential, or punitive damages,
Any loss of profits, revenue, data, or goodwill,
arising out of or in connection with your use of the Services, whether based in contract, tort, strict liability, or otherwise, even if we have been advised of the possibility of such damages.
Our total liability for any claim arising out of or related to the Services or these Terms will not exceed the total amount you paid to us for the course giving rise to that claim.
You agree to indemnify, defend, and hold harmless RGA Upskill, ReelGoodAim LLC, and our officers, employees, contractors, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to:
Your use of the Services,
Your violation of these Terms, or
Your violation of any law or third-party rights.
We may update these Terms from time to time. When we do:
We will update the “Last Updated” date at the top.
In some cases, we may provide additional notice (such as email or LMS announcement).
Your continued use of the Services after changes become effective means you accept the revised Terms. If you do not agree, you must stop using the Services.
We also reserve the right to modify, suspend, or discontinue any course or feature at any time, with or without notice.
These Terms and your use of the Services will be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law rules.
Before filing any formal claim, you agree to:
Contact us at support@rgaupskill.com and describe the issue in detail.
Allow us a reasonable opportunity (typically 30 days) to respond and attempt to resolve the issue informally.
If we cannot resolve the dispute informally, you agree that any claim or dispute will be brought exclusively in the state or federal courts located in Dallas County, Texas, and you consent to the personal jurisdiction of those courts.
